GSI Lumonics Inc. Files a Registration
Statement and a Preliminary Prospectus
With Respect to the Offering of Four
Million Common Shares in the United
States and Canada

KANATA, Ontario, March 22 /PRNewswire/ -- GSI Lumonics Inc. (Nasdaq: GSLI - news; Toronto: LSI - news)
today announced it has filed a registration statement with the United States Securities and Exchange Commission and a
short-form preliminary prospectus with the securities commissions in each of the provinces of Canada for the proposed
public offering of 4,000,000 Common Shares. The offering is being managed by a syndicate of underwriters consisting
of CIBC World Markets, Chase H&Q and Needham & Co.

As described in the registration statement, all of the 4,000,000 Common Shares will be offered by GSI Lumonics Inc.
In addition, GSI Lumonics and a group of selling shareholders will grant the underwriters an option to purchase an
additional 600,000 Common Shares to cover over-allotments, if any.

The net proceeds of the offering will be used for capital expenditures, working capital, and general corporate purposes,
including possible future acquisitions. Pending these uses, the net proceeds will be added to the Company's cash
resources.
