INPR likely has a debatable, technical, legal point but unless there is a probable and significant payday a law firm is not going to be interested, and it would be difficult for an individual with limited time, knowledge and resources to fight a corporation. Hence Don Magie may have to modify somewhat what he has been doing. I believe he has said as much on the Yahoo board.
Anger aside, I think we would all agree by now that Fuller and the BOD are not going to call off the deal. It is possible that they might have been talking to Cowpland to raise the ratio. If Cowpland cooperates, all he has to do is to issue more funny papers. Yet, I tend to believe that he would chance his up-and-coming $250M real American money and play hardball. First, it is likely that our techno-fearless leaders will back down. Second, in the event of a fight, Cowpland likely will win and would still get 30M. It is a lose-lose situation for INPR and a showcase of Cowpland's deal-making manhood. Third, after showing the world the idiocies of Fuller, it would not take Cowpland much time and effort to gather support to elbow out Chairman Fuller. Say, 6 months dude! |
