Tom, I have not gone through all the numbers in the MER research, but I'm pretty sure that Tom Astle, the MER analyst included the ASND acquisition by LU, and included the In -Process R&D- which was written off by LU.

fascinating piece of research this morning from Merrill Lynch.

Tom Astle in the Telecommunications/Equipment wrote the piece. It discusses the strange propensity of Wall Street to completely ignore R&D expenses when they are
acquired (and immediately written off) and yet include these R&D expenses when they are internally expended.

------------

your second question:

Also, what percentage
of the acquisition cost would you attribute to R&D?

those figures are available in the 10Q and if I get time I may take a look. The numbers that the controllers and accountants come up with are different in every transaction.

But they should have some general basis in reality and more importantly fit within the framework of -GAAP- "Generally Accepted Accounting Principles"

The IRS, the shareholders and the Attorneys all have a vested interest in seeing that GAAP is followed, if not to the exact letter, at least the general context.

It's an interesting Subject and maybe we can expand our discussion of this in coming weeks.

John
