This is right off the top of my head. It requires more analysis, but here ya go:

Legato is considered low-end and NT-ish. Their penetration above that level of server is slight. They are struggling with some of their software releases. I think an acquisition would seriously unfocus them, and cause further problems.

I'm not real sure just what EMC would get from them, except a working NT-ish product. Their products will have a hard time displacing Veritas and Tivoli at the enterprise level. Having EMC as the parent company will help penetration in that segment greatly.

I have to believe that if the rumor is true, EMC has seen something in their lab that the rest of the world has not.

My 2c (and it's probably Canadian, at that)
