I suppose, if it came down to it, they could get around Rule 701 by saying they paid Merger in cash, and Merger turned around and bought 35,000 shares with it.

The disclaimer says:Merger Communications, its officers, directors, and employees own 35,000 restricted shares of company common stock.
It doesn't say how they got the shares. :-)
