completed its initial distribution of shares to the public. The gross proceeds

were $400,000. The Company is classified as a `VCP' company.
Immediately prior to commencement of trading, the Sponsoring Member will
cross through the facilities of CDNX all 1,600,000 common shares at $0.25 per
share, which were sold pursuant to a prospectus dated February 29, 2000.
Commence Date: At the opening March 29, 2000, the
Common shares will commence trading on CDNX.
