A T M I COMMENCES PUBLIC OFFERING Of 2,800,000 Shares of Common Stock
DANBURY, CT - March 30, 2000 -A T M I, Inc. (Nasdaq: ATMI), today announced the commencement of its public offering of 2,800,000 shares of its common stock at a public offering price of $45.00 per share. Of these shares being offered, 1,500,000 shares are being sold by the Company and 1,300,000 shares by selling stockholders. In addition, the underwriters of the offering have an option to purchase an additional 375,000 shares from the Company and 45,000 shares from one of the selling stockholders to cover over-allotments. The Company plans to use the net proceeds from the offering for working capital and other general corporate purposes. The Company will not receive any proceeds from the sale of shares by selling stockholders.
The offering has been reduced from 3,100,000 to 2,800,000 shares of common stock as a result of one of the selling stockholders reducing the number of shares he will offer. In addition, the Company has agreed to increase the number of shares that it will include in the over-allotment option to 375,000. No members of management of A T M I are selling shares in the offering. The offering is being managed by Goldman, Sachs & Co.; Banc of America Securities LLC; Deutsche Banc Alex.
