Hello Fred,

Interesting idea ... although I'll put a slight variation on the spin ...

IMHO, I have tried to argue a couple of points for quite a while:

1. It's not the directory platform that has any long-term strategic value ... it's the directory-enabled applications.

2. The value of Drew Major's vision (BorderManager / ICS / Caching / "in-the-flow") is far more valuable in the infrastructure than the directory side of the house.

Because of this, I would almost suggest that you are on-track with the split you define. But for other reasons ...

If Novell were to recognize the value of Drew's vision, they might think about spinning off the entire "appliance" side of the company to become a "tracking stock" with a focus that includes, but is not limited to, the corporate customers. This would get Drew and his capabilities out from under the current management mess that exists in Provo.

If you observe the recent acquisition by Cisco of a company called SightPath ( sightpath.com ) you will see that Cisco is starting to understand the power of "Object Routing" ... this *is* the future of infrastructure ...

A split like this would also then leave the "directory" side of the company to determine their future. I actually think that Novell would want to form divisions around the core platforms (NetWare and NDS) and then the "Directory-Enabled Applications". So maybe it is a three-way split ...

This actually creates "three" Novell's, but I believe it starts to allow the individual "divisions" to move forward towards their own successes, without being burdened by artificial limitations placed on them by management.

Out of this, I do agree, would grow a much stronger Novell ...
