SUNW shareholders would have to commence a derivative suit on behalf of SUNW against MSFT. I'm not sure whether individual shareholder(s) of SUNW have standing to do that. Besides, it would be a nightmare and very expensive for individual shareholders of SUNW to do such a thing. I can't imagine why any shareholder of SUNW would want to front such an action. Even assuming there was standing, whatever recovery was had, if any, would have to be proportionatly distributed among all of the shareholders of SUNW or might have to be paid directly to SUNW.
