As you are probably aware, in the US you often see full scale acquisitions consummated through exchanges of shares of the acquirer for those of the target, but not usually in connection with a joint venture like this. In this instance the practice seems part and parcel of the zhabahtsu/khirietsu (sp?)strategy, which often entails cross holdings between members, as the parties separately contributed operating capital in the form of cash and other assets to the joint venture itself. The practice makes sense for incubator/VC firms like Softbank and SIIS to which the market ascribes share value based in measure on the value of their partial stakes in other publicly traded entities.
