You are correct from what I understand. This is the agreement, and GRNO's first step in its consolidation strategy among the waste oil collectors.

I'm going to have to run by the local DC waste oil collector and ask them what their impression is now... :0) I had spoken with them earlier this year and certainly are familiar with Approved Oil Services. Milt Adams runs one the larger waste oil collection operations in the Mid-West, if not the US. And even though GRNO will not discuss specifics of the deal so as to not affect future acquisition negotiations, I believe that the use of preferred convertible stock is involved.

This means that Mr. Adams has a stake in assisting GRNO continue to run the operation and that GRNO will essentially be responsible for installing one or more of its processors in Commerce City, CO. I fully expect that there will be more acquisitions in this region as the price pressures begin to take effect toward the latter part of this year. If other collectors see the hand-writing on the wall, they may elect to merge with GRNO/AOS in order to forego being run into the ground in 1998. (The above paragraph is based solely on my understanding of GRNO intermediate term goals.)

It would be be rather stupid of Milt Adams, AOS CEO, who has been doing his diligence for the past year on this deal, to consumate a merger with GRNO if he did not believe in efficacy of EnviroEconomics. Personally, I think this is a major announcement, and treat it as such. Obviously the rest of the market is either holding their breath, or busy playing the Big Caps. That's all right. They'll be back when they start looking around for story stocks.
