Technically VRTS might well expect to hit bottoming resistance in the 65-80 range. This "correction" doesn't quite look like its over yet. The effect of such a move on the deal would be to add relative importance to the valuation of non-VRTS assets on SEG's balance sheet. If one went long SEG at 70ish and short VRTS at 160ish what you do then is just clear the VRTS short, bank those profits, keep the SEG long and vote no. At those levels SEG is back to being something of a value stock again and you have company in your last paragraph outcome.

In any case, its hard to see how this deal can slip through as is as long as VRTS fizzles; stockholder greed won't permit it.
