John Egan- A Legend in his Own Mind

Sam and Thread- I was going to post some very detailed excerpts about the 2000 Stock Incentive Program and the Management Incentive Plan. Both of which are up for a vote now. But after reading page 6 of the recently mailed 1999 Annual Report, I'm just at a complete LOSS on the arrogance of former CEO John Egan.

I quote, "Here's to you John Egan. Your contributions to ANTEC and the cable television industry are so awe-inspiring, we wanted to take the opportunity to say thanks!"

I'm just flabbergasted at the arrogance. I believe this is a page strictly inserted so John Egan can hopefully draw an indefinitely long $55,000 per month in RETIREMENT. Yeah, yeah. It says he has to work two months out of the year. But what a joke that would be. Are they going to have retirement police to enforce that one? And what if he does work two months out of the year. Will he work hard to keep the market cap where it is at today, seven years from now too?

If I was a long term shareholder I would be sick about this. I believe there is a huge nature of the beast type problem with ANTEC. And that is, Who are the real owners of ANTEC Corp? I always thought it was SHAREHOLDERS. But I guess I'm wrong.

The ones who seem to have profited the most at ANTEC were the officers and board members. Plus John Malone of the former TCI. As ANTEC seemed to be under their thumb for years and years.

Even the best spin ANTEC put out in page 11 of their proxy statement show their competitors WAY ahead of them during the 1994 period to 1998. Not counting, I guess(?) 1999 or the recent 2000 pounding, their competitors $100 invested in 1994 was worth $750 at end of 1998. ANTEC would be worth $200. Quite a dismal performance by ANTEC. And this is with spin put on it!

An investment roughly five years ago, gained zero dollars at one point last year. Barely worth anymore today. An investment at their IPO price seven years ago has appreciated very little since. And I shudder to guess how much Egan and insiders made during the years while outside shareholders made NOTHING.

Yes. Thanks John Egan. At least you didn't say you contributed greatly to shareholder wealth. -MikeM(From Florida)

PS1 Please vote NO for both the 2000 Stock Incentive Plan and the Management Incentive Plan. Make them go back to the drawing board and tie in HEAVILY stock price performance with their rewards.

PS2 I'm only posting the above because I believe ANTC is squarely positioned in front of the broadband train. I'm hoping the underlying nature of the company starts to reflect a gratitude to the real risk takers in keeping ANTC valuation up. It's shareholders and I truly hope management starts to understand this and is not so quick to keep rewarding themselves and leave shareholders behind.
