Is 1/ not typically illegal in such a deal, unless it's RegS?

However, in this case they wouldn't even need to short since they have many issued shares? Marty, where does one see how many shares those parties own and are [theoretically] available for sale?

In the past, my impression was that NEOT were being quite reasonable, issuing minimal shares as needed. Similar to BTRN.
