No, Hughes is not being spun off. GM will still own 100% of the assets of Hughes, and GMH will still be a tracking stock. GM is reducing its position in the GMH stock which it holds, so that more of it will be publicly held. GMH stock has its earnings calculated based on the results of Hughes, but has no direct claim to the assets of Hughes, only General Motors. The concept of tracking stocks is kind of hard to understand, and there is a great deal of controversy as to whether or not they are a good idea.
