In conjunction with the proposed merger, the Company declared a 29 for 1 dividend of its common stock to all shareholders of record December 15, 1999. As a
result, and following distribution of the dividend stock, the Company had outstanding 44,225,000 shares of common stock. All references to common stock in this
Report have been retroactively restated to reflect the dividend.
