Ex-Mattel executive gets $40 million severance deal

LOS ANGELES - Troubled toymaker Mattel disclosed yesterday it
paid former Chief Executive Jill Barad a severance package
exceeding $40 million. The payout, disclosed in the company's annual
proxy statement filed with the Securities and Exchange Commission,
comes as the company is bleeding red ink and its stock price hovers
near historical lows.

Mattel said it would pay Barad $26.4 million in cash - five times her
base salary plus maximum bonuses - and forgive two loans totaling
$7.2 million, including a $3 million mortgage. Mattel also is paying
$3.3 million in state and federal assessments on those amounts.

In addition, Mattel will pay Barad $709,000 a year for life in
retirement benefits. The company also declared all of Barad's stock
options to be fully vested, giving her 10.5 million shares.

The 46-year-old Barad resigned from the company's top post in early
February after a string of increasingly bad news that turned its profits
into losses and pummeled its stock price.
