Newbridge Networks Corporation Appoints Georgeson Shareholder Communications Canada as Information Agent and Proxy Solicitation Agent
MAY 3, 2000 TORONTO, CANADA--Georgeson appointed for Special Meeting of Shareholders and Arrangement Involving Alcatel
Newbridge Networks (NYSE: NN; TSE: NNC) has engaged Georgeson Shareholder Communications Canada to act as Information Agent on the Arrangement involving Alcatel and as proxy Solicitation Agent for the upcoming Special Meeting of Shareholders to be held on May 16, 2000.
Under the Arrangement, the holders of Newbridge Common Shares will receive, as consideration for each Newbridge Common Share, either 0.81 Alcatel ADSs or 0.81 Newbridge Exchangeable Shares or a combination of Alcatel ADSs and Newbridge Exchangeable Shares. Newbridge Exchangeable Shares will be exchangeable at any time, on a one-for-one basis, for Alcatel ADSs at the option of the holder. Holders of Newbridge Common Shares will have the option of retaining the Exchangeable Shares as long as they properly notify Montreal Trust Company of Canada of their election prior to 5:00 p.m. (EST) on May 12, 2000. Holders of Newbridge Common Shares who do not provide Montreal Trust Company of Canada with a proper and timely election to retain Exchangeable Shares will receive Alcatel ADSs. The acquisition of Alcatel ADSs by a Canadian resident shareholder will generally be a taxable event to such shareholder.
Shareholders are strongly advised to consult their financial, legal or other professional advisors (broker, investment dealer, bank, trust company or other nominee) to make an election prior to the May 12th election deadline.
