Saturday, May 6 2000 10:21PM ET To: xxx (who wrote) From: ztect Rs is suppose to be within ninety days of proxy vote which occurred on March 27. So the rs has to occur before 6/27 or thereabouts. Purportedly they will announce the date prior to the reverse. RS was a condition of the Investment Bank for financing partly to make shares more marketable to clients for transaction costs and qualification for nasdaq listing. RS will also have to therefore occur when tsig makes draw upon the financing which I'd imagine would occur after audits are done of acquisitions since these companies are being purchased with shares that can't currently be issued with the existing authorized cap. Conditions of financing aren't known other than that it is an equity placement and a comment at the share holders mtg by Gordon when asked the question is it safe to say that this pp has a floor to which Gordon said it was safe to say "that".
