Ron: If I was a strategic planner for EVSI I would be facing two business problems. The first is the fact that I have a very profitable business of reprocessing R-12 (refrigerant), which is going to die, because no new equipment using R-12 is allowed anymore, thus, that base of business over the next five years is going to decline. I am also faced with a business segment of my fuel distribution system that is very small (Diesel - annual sales of about $4 MM) relative to the rest of my business and on which I have relatively low margins. While I am using a good part of my general fuel distribution business infrastructure for the punny Diesel business I am doing, such a small chunk of annual sales needs to be either eliminated or expanded to keep it profitable. So, I go into a joint venture that will provide me with a low cost source of Diesel and in quantities sufficiently high to expand this small business. Furthermore, I can now (slowly) replace the business lost in R-12 recovery with waste oil recovery and have in the process very healthy margins. However, I am not a strategic planner for EVCI, so I have no idea what their long range plans might be. Zeev
