David, Great post -- well researched/thought out per usual. The point is that there will be an increase in the outstanding number of shares by at least the 14 million, and in the diluted number of shares by maybe a lot more. Strong incentive for COMS to buy back shares to offset the effect on EPS. Under the scenario of a post d-day COMS pricing of around $20.00 to $25.00 -- wouldn't 3COM then not be buying back about 40 to 50 million shares outstanding and then less these 14 million? -JH
