BUYING BUSINESS......

In April 2000, FMKT entered into a five-year agreement with Visteon Corporation. In connection with entering into this agreement, FMKT issued a warrant to Visteon, with an exercise price of $.01 per share, to purchase 1,750,000 shares of FMKT common stock, which will result in total stock-based expense of $95.5 million amortized on a straight-line basis over five years, beginning in the quarter ending June 30, 2000.

This is the second arrangement FMKT has made with large clients. UT also has a very sizeable stake in FMKT.
