KANATA, CANADA--Alcatel (NYSE: ALA; Paris: CGEP), a world leader
in end-to-end voice and data communications, announced on February
23, 2000 that it had entered into a definitive agreement to
acquire broadband market leader Newbridge Networks Corporation
(NYSE: NN and TSE: NNC).

An initial milestone in the approval of this acquisition is a vote
by shareholders of both companies.

On Tuesday, May 16, at 9 a.m. Newbridge shareholders will vote on
this proposal. The meeting is open only to holders of Newbridge
common shares, warrants and options.

Immediately following the conclusion of this meeting, Newbridge
President Pearse Flynn will host a press conference in the Alberta
Room at the Westin Hotel to provide details of the vote. The press
conference should commence at approximately 9:45 a.m.
