Phase-In Schedule for New Amendment to Rule

SALT LAKE CITY, May 17, 2000 (BUSINESS WIRE) -- On January 4, 1999, the NASD
obtained approval form the SEC to limit quotations on the OTC/BB to the
securities of companies that report their current financial information to the
SEC, pursuant to Section 13 or 15(d) of the Exchange Act of 1934. The NASD
Eligibility Rule, designated Rule 6530, provides for a phase-in period for
companies quoted on the OTC/BB as of January 4, 1999. The phase-in period for
all companies will be between July 1999 and June 2000. The phase-in is being
done on an alphabetical basis. The phase-in date is set for January 12, 2000
under amended NASD Eligibility Rule 6530.

The Company is nearing completion of its audited financial statements for the
fiscal year ended December 31, 1999. Upon issuance of the audited financial
statement, the Company intends to promptly file a Form 10-SB with the Securities
and Exchange Commission through the SEC's Electronic Data Gathering analysis and
Retrieval (EDGAR) system to register its common shares under Section 12(g) of
the Exchange Act of 1934. Following the effective date of the registration, the
Company will become a reporting issuer under Section 13 of the Exchange Act and
will be eligible for continued trading on the OTC/BB.

Inasmuch as the SEC review of the Form 10-SB will be conducted over a period of
a few months, the Company shares will be traded on the OTC/BB until May 19, 2000
and thereafter on the NQB electronic "pink sheets" until such time as SEC review
of the Form 10-SB filing is completed and trading is resumed on the OTC/BB.

Interested persons should note that the Company's stock-trading symbol, OTC/BB
CDCH, had an "E" appended to its trading symbol on or about April 19, 2000 which
will continue on their symbol through May 19, 2000, OTC/BB CDCHE. Once the
Company begins trading on the NQB electronic "pink sheets" after May 19, 2000,
and when the shares resume trading on the OTC/BB, the trading symbol for the
Company's shares will resume as CDCH.
