The joint cooperation agreement between SNDK and SEG depended on SEG maintaining at least 10% ownership. SEG is down to well under that, so they can no longer invoke the option. It is possible that SNDK gave SEG a 1-year notice of termination (which they were entitled to do any time after Jan 15, 2000) and SEG decided to start selling. But I suspect that SEG simply chose to sell SNDK based on valuation and/or their own corporate objectives related to the VRTS transaction.
