It seems to me that waiting to announce earnings with approval of the merger indicates there is some disappointing earnings news that he wants to ofset with the positive implication that the merger brings to the table.

That's a reasonable assumption. However, another equally reasonable explanation might be that over the last month Henry's seen lots of companies report stellar earnings and then still get their prices whacked the next day. If he's got the flexibility about when to report, why not just wait a bit for the possibility of market conditions that might actually allow a good earnings report to actually make the stock go up? Certainly can't be any worse of a climate to report earnings in than it is right now.
