SDL sees beating Q2 EPS estimate by 24 pct or more

SAN JOSE, Calif., May 26 (Reuters) - Telecommunications equipment maker SDL Inc. (NasdaqNM:SDLI - news) said
Friday that it sees second quarter operating results ``well in excess'' of estimates, propelled by strong bookings and a recent
acquisition.

SDL said it expects to beat second quarter pro forma earnings per share estimates by 24 percent or better. Wall Street had expected the San Jose, Calif.-based
company to earn 25 cents, excluding amortization of goodwill, in its second quarter ended June 30, versus 8 cents in the year-ago quarter, according to research
firm First Call/Thomson Financial.

The company added it expects second quarter results to beat first quarter results by about 44 percent in revenue and 58 percent in operating profit. SDL
reported pro form operating income of $17 million, or 22 cents per share, on revenues of $72.2 million in the first quarter of March 31.

SDL is in the process of buying private Photonic Integration Research Inc. in a cash and stock deal valued at about $1.8 billion. The company said it expects the
deal to close in the first full week of June.

Including Photonic, SDL said it now sees revenue growing about 140 percent or more in 2000 as compared to last year's $187 million.

Shares of SDL closed at 168 on the Nasdaq on Thursday, down 7-5/16 on the day.
