Results of Fairmile's AGM, Board Approves Consolidation and Name Change
Vancouver, BC: Fairmile Gold Corporation (Fairmile, CDNX:FLA) held its Annual General Meeting on May 26th in Vancouver. Approximately 43.8% of the Corporation's issued and outstanding shares were represented via proxy at the meeting. An overwhelming majority of those shares approved each of the ordinary and special resolutions and elected each of the directors. Each resolution was approved by at least 99.0% of those shares voted by proxy. Joseph Anthony Kizis, Jr., Michael P. Raftery, and Thomas R. Kelly were re-elected directors by 99.7% of those shares voted by proxy.
Fairmile's Board of Directors met on May 29th at which time they approved a consolidation of common shares at the rate of 10 old for 1 new share and a name change to Fairmile GoldTech Inc., subject to regulatory approval. The consolidation is necessary to attract financing for the Corporation, and was approved by 99.0% of those shares voted by proxy at the recent AGM. The name change from Fairmile Gold Corporation to Fairmile GoldTech Inc. reflects the continuation of Fairmile's emphasis in the gold industry, with the addition of high-tech applications that may include secondary gold production and remediation with technology partners Pintail Systems Inc. and Science Applications International (SAIC).
