Vodafone AirTouch Plc ('the Company')

In accordance with Section 329 of the Companies Act 1985, I have to inform you
that the Company was advised today by Orbis Pension Trustees Limited, trustee
of the Vodafone Group Employee Trust, that on 2 June 2000 the following
directors acquired an interest in the following number of ordinary share of
US$0.10 each in the Company at a price of 322p per share pursuant to the rules
of the Vodafone Group Long Term Incentive Plan ('LTIP'):

Director LTIP shares

C C Gent 209,627
P R Bamford 114,130
J M Horn-Smith 114,130
K J Hydon 114,130

The LTIP shares are subject to performance criteria and, subject to the
satisfaction of those criteria, will be released to participants in the Plan
in 2003.
