Creeping takeover by Repadre.

TORONTO (Dow Jones)--Black Hawk Mining Inc. (T.BHK) will issue 3.3 million
shares to Repadre Capital Corp. (T.RPD) pursuant to an amended net smelter
return royalty agreement.
In a news release, Repadre said the royalty agreement relates to the El
Limon Mine in Nicaragua. The shares will be issued upon receipt of regulatory
approval.
Under the amended agreement, Repadre said Black Hawk is permitted to issue
shares in lieu of cash as royalty payments until June 30.
Repadre said it now holds 18.6 million common shares and 800,000
common-share-purchase warrants of Black Hawk. After the issuance of the 3.3
million shares, and assuming Repadre exercises the warrants and that no
additional common shares of Black Hawk have been issued, Repadre would own
22.7 million shares of Black Hawk, or about a 16.6% stake.
The company said it doesn't plan to increase its stake in Black Hawk, other
than through shares that might be issued to it in settlement of future royalty
obligations.
Repadre pursues royalties and merchant banking opportunities in the mineral
resource industry.
Black Hawk Mining is a mining company.
