CDnow Inc. (CDNW): The online retailer of compact discs said Patrick Kerins resigned from its board because of time constraints. CDnow also said it's continuing its efforts to find an investor or merger partner, though it can't guarantee that a transaction will take place before June 30 or at any time. CDnow said the price of an offer could be below the current market price for its common stock. CDnow fell 3/32 to 4 9/32. It fell as low as 3 3/4 in after-hours trading.
