AT&T Wireless in Deals Worth $3.3 Billion


NEW YORK (Reuters) - AT&T Wireless Group (AWE.N) said on Monday it will buy wireless systems in San Francisco, San Diego and Houston markets for $3.3 billion from Vodafone AirTouch Plc (VOD.L), GTE Corp. (BEL.N)(GTE.N) and PrimeCo PCS.

The deals are expected to help pave the way toward combining GTE's wireless assets into Verizon Wireless, the company created by the merger of Bell Atlantic and Vodafone AirTouch's wireless businesses.

``The agreements are a major step toward eliminating remaining overlapping cellular operations that would be created by the integration of GTE Wireless assets into Verizon Wireless,'' Bell Atlantic, Vodafone and GTE said in a release.

In San Francisco, AT&T is buying the remaining interest in a wireless partnership from Vodafone AirTouch. In San Diego, it is buying 100 percent of GTE's wireless operations. In Houston, it is buying the system owned by closely-held PrimeCo PCS.

For AT&T Wireless, the tracking stock that reflects AT&T Corp.'s (T.N) wireless telephone operations, the deal adds 1.3 million customers to the telephone giant's wireless customer base and gives them a foothold in the last three cities in the top 15 U.S. service markets that do not have AT&T wireless services.
