NOTICE OF THE 2000 ANNUAL MEETING OF STOCKHOLDERS TO BE HELD ON JULY 18, 2000
The Annual Meeting of Stockholders of Advanced Plant Pharmaceuticals, Inc. (the "Company") will be held at The IDT Building, 520 Broad Street, 17th Floor, Newark, NJ 07102, on July 18, 2000, at 11:00 a.m., local time, to consider and act upon the following matters:
1. To elect two directors to serve for the ensuing year.
2. To ratify the selection by the Board of Directors of Michael Finkelstein & Co. as the Company's independent auditors for the current fiscal year.
3. To amend the Company's Certificate of Incorporation increasing the number of authorized shares of the Company's common stock, par value $.0007 per share, from 120,000,000 shares to 250,000,000 shares.
4. To transact such other business as may properly come before the meeting or any adjournment or postponement thereof.
Stockholders of record as of the close of business on May 22, 2000, will be entitled to notice of and to vote at the meeting or any adjournment or postponement thereof. The stock transfer books of the Company will remain open.
