29. The conversation on April 27, 2000 then turned to WAMEX and
HIDALGO's desire to sell a large block of restricted stock that he been
paid by CUSHING and CHIMENTI:
a. HIDALGO: Maybe some WAMEX stock too? CW-1: How much WAMEX stock do
you have? HIDALGO: Well, we're probably gonna do a different deal with
them. CW-1: What do you have now? HIDALGO: What I have now is not
WAMEXX the free trading company. It's not in WHI (UI) holding. CW-1:
So you don't have any stock that you can sell right now? HIDALGO: No,
but we're doin' a deal with (UI).

b. CW-1: Let's say the stock is at two dollars and I sell it.
HIDALGO: For how much? CW-1: It's gonna be a big discount. I may
want as much as 60 - 70% cash back. HIDALGO: That's a lot. We'll work
somethin' out.

c. CW-1: Let's talk about the WAMEX. (CW-1 mentions having pension
funds buy it ) CW-1: I've gotta give the pension fund managers 25% to
be buyin' this ****, in cash, and then we gotta make money. But this
ain't somethin' that is think is gonna be around. ... Let's pick a ball
park number. Let's pick a range. HIDALGO: quarter of a million
shares. CW-1: quarter of a million shares minimum. It's gonna be a
little more than that. (CW-1 then requested that HIDALGO fax him a copy
of the promissory note and informed HIDALGO it would be 50 - 75%
depending on where the stock is.

30. On April 27, 2000, ANTHONY HIDALGO, the defendant, faxed a copy of
a promissory note indicating the ownership of Euro Atlantic Consulting
Corp., an entity controlled by HIDALGO (and through which he owns
INYC.COM), of 1.5 million shares of restricted stock in World Auction
Market & Exchange, PLC, a Gibralter entity that, according to WAMEX's
Form 8-K owns approximately $6.4 million shares of WAMEX.

31. On May 4, 2000, the DMN Bug recorded a speaker phone conversation
between CW-1 and ANTHONY HIDALGO, the defendant. HIDALGO said that he
is getting ready to start the RAMO deal and just did the final changes
with the lawyers. HIDALGO stated that after the RAMO deal, he'll go for
the shell which comes with another million. HIDALGO claimed that he'll
get 5 million from the RAMO deal and another million from the shell.
HIDALGO explained that with the RAMO deal, he'll get 4 million in cash
and 1 million in paper. HIDALGO indicated that he'll receive the 4
million in cash over 120 days.

WHEREOF, deponent prays that MITCHELL CUSHING, RUSSELL CHIMENTI,
ROGER DETRANO and ANTHONY HIDALGO, the above-named defendants, be
arrested and imprisoned or bailed as the case may be.
