AT&T wireless is only picking up PrimeCo in the Houston market, because of overlap with GTE. AT&T Wireless Press Release says:

"AT&T Wireless is acquiring the Houston system from PrimeCo PCS. The system covers a population of about 5.7 million people and served 190,000 subscribers at the end of the first quarter with the PrimeCo brand."

The rest of PrimeCo will roll into Verizon as will GTE (except for San Diego market).

The deal is a Win/Win for both Verizon & AT&T, IMO.
