ALBUQUERQUE, N.M., June 22 /PRNewswire/ -- On May 2, 2000, LightPath commenced an action in the Chancery Court of the State of Delaware. The action sought a declaratory judgment that the 4,022,037 shares of the Company's outstanding E stock were entitled to receive the sum of $.0001 per share on or before September 30, 2000 and other than such entitlement had no other rights or claims as stockholders of LightPath. Since LightPath is a corporation organized under the laws of Delaware and the courts of that state are recognized as among the most sophisticated and experienced in the determination of issues of corporate law, LightPath selected Delaware as the appropriate jurisdiction to determine the rights of the E stockholders. In that connection, the Delaware action initiated by LightPath provides a means for any E stockholder who wishes to be heard to raise individually or through counsel, any issue bearing directly or indirectly on the underlying question of whether the E stockholders have any right, other than to receive $.0001.
