Silicon Laboratories to Acquire Krypton Isolation -Silicon DAA Technology Pioneers Join Forces-

AUSTIN, Texas, June 22 /PRNewswire/ -- Silicon Laboratories Inc. (Nasdaq: SLAB - news), the mixed-signal integrated circuit (IC) innovator for the communications industry, today announced an agreement to acquire privately-held Krypton Isolation, a California-based semiconductor company. The companies agreed to complete the merger in a $42 million cash and stock transaction, expected to close in the third calendar quarter of 2000. The acquisition joins the industry's pioneers in silicon Direct Access Arrangement (DAA) technology, forming the world's leading source for innovative solutions that provide isolation between a communications system and the telephone network, as required by the FCC and equivalent agencies throughout the world.

Silicon Laboratories is a premier supplier of revolutionary CMOS IC solutions for communications applications. Silicon Labs' wireline products include a broad range of patented silicon DAA ICs, isolated embedded modems and integrated SLIC plus codec ICs. Additionally, Silicon Labs offers wireless products including the world's most integrated RF synthesizers for cellular phones and ISM-band applications. Krypton's product portfolio is focused on providing innovative silicon DAA solutions. Combined, the companies provide wireline and wireless solutions to industry leaders including 3Com, PC-Tel, SmartLink, Intel, Motorola, Samsung, Compaq, TiVo, Sony, Mitsubishi and Nokia.

Krypton and Silicon Labs each developed and patented silicon DAA technology that transfers data across the isolation barrier using a two-chip chipset, dramatically reducing board space, power requirements and overall system costs compared with traditional solutions. The architectural differences between the two companies' solutions allow the products to be ideally suited for different applications. Together, the companies will offer a range of solutions for applications such as PC modems, Internet appliances, fax machines, speakerphones and voicemail systems.

Krypton's personnel will continue to operate at the company's Pleasanton, CA, facility. All Krypton products will be marketed and supported under the Silicon Laboratories brandname.
