EOP Amended
Amendment No. 2 dated May 12 1997 to the company's EOP dated February 4
1997 (as amended by amendment No. 1 dated March 19 1997) has been filed
with and receipted by the BCSC and the VSE effective May 12 1997.
The amendment discloses the following changes:
1. Pursuant to an amendment dated May 2 1997 to the agency agreement dated
August 30 1996 and amended January 10 1997, the offering has been increased
to 1,500,000 units from 833,334 units and the estimated price has been reduced
to $0.80. The total gross proceeds estimated to be raised has been increased
from $1,000,000 to $1,200,000. As a result, the agent's warrants have increased
from 208,333 warrants to 375,000 warrants.
2. The company has received a report entitled Airborne Geophysics Interpretation
Mazenod Lake Area prepared by Covello, Bryan and Associates Ltd, which
analyzes the results of an airborne geophysical survey carried out in summer 1996
in respect of the company's Tri, Reba and Mo claims in the Northwest Territories.
The report provides updated work program recommendations. A summary of this
report and the updated recommendations have been included in the amended
EOP.
3. Under the Tri option agreement, the company was obligated to incur a minimum
of $75,000 in exploration expenses by April 25 1997. The company has only
incurred $35,000 to date. The optionor must give written notice to the company
which contains particulars of the default and the company has 60 days to cure the
default before the optionor can terminate the agreement. The company to date has
not received written notice from the optionor.
The date by which the company must complete its offering has been extended
from May 12 1996 to May 20 1996.
Consequential changes to reflect the above and to update the company's
disclosure to March 31 1997 have been made to the EOP.
The company's offering under its EOP dated February 4 1997 and amendment
No. 1 dated March 19 1997 and amendment No. 2 dated May 12 1997 must be
made by May 20 1997.
