Mindready Solutions Inc. Acquires UK-Based Engineering

MONTREAL, QUEBEC-- JUNE 30, 2000
Acquisition will allow Mindready to consolidate its activities
with Nortel-Paignton
Mindready Solutions Inc., a subsidiary of NURUN Inc., today
announced it has acquired Andrew Duncan Associates Limited
("ADA"), a UK-based engineering services company. ADA will join
forces with Mindready to capitalize on the recently announced
strategic alliance with Nortel Networks. ADA employs 10
engineering professionals and expects revenues of more than $1
million in 2000. The transaction has been made in consideration
of cash and also of shares of Mindready.
ADA provides test engineering and calibration services to Nortel
Paignton. Its activities will be integrated with those of
Mindready Solutions UK Ltd in order to establish a solid
foundation to serve Nortel for its optical products manufacturing
facilities at Paignton UK.

on a worldwide basis. ADA will allow us to have a strong local
presence in Paignton where critical optical components are
manufactured and for which we will provide our full suite of test
