Luis--I am not interested in your company.
I saw enough in the SEC filing that was posted to lose any desire to buy in. 'Going Concern' clauses are potential death knells for a company. I don't think you are taking it seriously enough.
While the company has that in their SEC filings serious investment money is going to stay out. If the company gets past this and offers good prospects then it may be a buy. While that clause is in there the company is saying you can lose all of your investment and the risk of this is substantial and the upside counterbalance to the risk is not there.
Good DD takes a fair amount of time, I wouldn't do much either while that clause exists.
