They say the "could" spin off STLW, not they WILL, BIG difference

Is it possible that it's just "lawyer" language? Everyone seems to think it's all but a done deal. There's even a Merrill Lynch write-up, as you may have seen.

The McGinley family (Chairman) apparently owns a huge voting portion of METHA, and they would obviously profit very handsomely if the spinoff occurs. I can't imagine why they wouldn't want it to happen.

Here's the link to the propectus. The language seems very clear that it is METHA's intention to spin off STLW. I think some of the cautious comments are just lawyerly hedging.
