Hi DS,

What a morning! In listening to everyone's discussions, I have one preliminary thought/question.

As I understand it, Spinco will license from QCOM royalty free. Now, just suppose Spinco becomes the INTC of CDMA chipsets with an overwhelming share of the market. Where will the Q get its' future royalties in the event Spinco has no meaningful competition?

Keep in mind this is a spin off. Over time, the two companies will conduct business to their respective advantage.

At first blush this looks like a terrific deal, but it doesn't hurt to look under all the rocks.

Long on QCOM.

DN
