If you recall the bizarre events surrounding LWIN, the when issued stock was priced @ $12 a share and closed at $3 a share. The average price of the distribution gave us a net price of $7 for the LWIN shares. The bizare pricing was the direct result of the taxable nature of the transaction, not to mention that LWIN were completely unappealing at the time of the deal.

Having looked at more successful IPO's that companies have priced recently include 3COM's. To this day, shareholders of 3COM never received any stock since the company spun off the 20% away from the shareholders. Thankfully, Jacob's has rewarded the shareholders and not the institutions that would inevitably end up with all the stock had the company spun off a 20% stake in QCP.

We will not have to sit back and watch other people benefit from the IPO, awaiting shares from the company at some indefinite date in the future. Clearly, this transaction represents Jacob's class and integrity.
