Assuming there is a cabal of W-CDMA IPR holders who come to a cross-licensing arrangement similar to GSM, the only remaining difference to this group is non-members would still be required to pay the members for W-CDMA equipment.
-Edit: SpinCo is neither of the above-
In addition, if a W-CDMA IPR holder does not plan to sell any W-CDMA equipment, SpinCo would need to obtain a license and pay royalties to that company. I care not to take that part any further....
