I had the impression that Spinco will be given some patents, which only it has the right to license/trade, and have the royalty-free right to use all other QCOM patents (which QCOM will license for the usual royalty rates to non-Spinco licensees). In return for the royalty-free right to use existing QCOM patents, Spinco is obligated to transfer (some of?) future patents it may develop back to QCOM.

Is that right?
