Licensing Agreements

As always the terms of any licensing agreement are highly confidential. The press release does not state if the agreement will be royalty bearing for SNDK, only that there is some exchange of technology and licensure. The way the press release is worded indicates that there are contributions from both sides. I think it is likely that there may be some net payments to SNDK for the card assembly patents which allow the unrestricted manufacture of CompactFlash. This is just conjecture.

The most important word in the whole TDK press release is "worldwide" as it suggests that flash cards sold in Japan are also covered. I wonder if this will be used as leverage against Mitsubishi. Isn't TDK a Japanese company?

Finally, a few weeks ago we discussed the wording of the Lexar Media registration statement that suggested (IMHO) that SanDisk was going to sue everyone in sight. I think that is an unfair representation. The exact wording was something along the lines that SanDisk's business model is to file lawsuits against competitors. I think this only occurs if negotiations break down or if the competitors refuse to acknowledge SNDK's technology that forms the basis of the licensure. The SanDisk business model is to sit down with other companies in the field and discuss the merits of each others IP. The deal with SSTI in 1998 is another example of this.
