I think the intention is that NOBODY pays royalties to SPINCO. Spinco uses the patents for trading, not obtaining royalties. Here's one scenario from my understanding of this:

Company A is a current licensee of Q at 5%. Company A has GSM IPR spinco wants and cross licenses with Spinco. Company A should then be able to negotiate with Q for a smaller fee as they now have obtained rights to certain patents from Spinco.

Spinco will never use its patents to obtain royalties (I don't think they can). They can only sublicense others.
