Re patents - it may all depend on the power of the patents.. Companies like Xerox and Polaroid once held patents that eliminated everybody else. Admittedly this is a fairly rare circumstance, but it's possible that QCOM patents could be this strong, since they were hard at work on CDMA when almost everybody else was saying it was impossible. If so, QCOM could keep some that were core, and still have some critical ones for Spinco. I have no way of knowing whether QCOM patents are this exclusive or not, and in the vast majority of cases what you posit would be correct.
