Two thoughts on this. First, wouldn't the IPR licenses include cancellation clauses if there is a change of ownership? While this may not be a "poison pill," it might serve as a deterrent to a takeover.

The second thought is, Who cares? INTC or TXN cannot buy Spinco until the spin off to the shareholders is completed. Then it is up to us, the shareholders (including Dr. Jacobs, the institutional holders, etc.). If they offer us enough for our shares and it is otherwise a good deal, great. They will have to be a big champion of CDMA to recoup their cost, given what it will cost them.

The brilliance of the spin-off for us is that QCOM's shareholders will benefit from such a sale, vs. the way the sales of the handset or infra divs were done.
