The Canadian Venture Exchange has accepted for filing documentation with
respect to a non-brokered private placement announced July 18, 2000.
Number of securities:
1) 100,000 non-flow-through shares at 50 cents per share and 50,000
non-transferable share purchase warrants to purchase one additional
flow-through or ordinary common share at a price of 70 cents per share for
a one year period;
2) 140,000 flow-through shares at 50 cents per share and 70,000
non-transferable share purchase warrants to purchase one additional common
share at a price of 70 cents per share for a one year period;
3) 24,000 special warrants at a price of 50 cents per special warrant, each
special warrant is exchangeable for no additional consideration, into one
flow-through common share and one-half of a non-transferable share purchase
warrant to purchase one additional common share at price of 70 cents for a
one year period.
